VIETNAM: Impact of restructuring on ERCs and work permit reissuance.

While the compliance burden remains limited under the current framework, companies should proactively manage any address updates to avoid complications during labor audits. Reissuing work permits in a timely manner will help mitigate risks related to foreign employee management.

Vietnam’s planned institutional reforms, originally expected to take place in Q4 2025, are now scheduled to be completed earlier. Authorities made the  announcement that the restructuring of communes and the consolidation of provinces will be finalized by mid-August. This administrative shift does not automatically require companies to update their business licenses. However, updates made voluntarily may trigger additional compliance steps.

The following are the key points to note for companies with operations in Vietnam:

  • Companies are not required to update their Enterprise Registration Certificates (ERCs) or Operation Registration Certificates (ORCs) solely due to changes in administrative boundaries.
  • Official Letter No. 4370/BTC-DNTN (issued April 5, 2025) confirms that existing certificates remain valid even if the registered address now falls under a new commune or province.
  • If a company chooses to update its ERC with the new address, all associated work permits must be reissued to reflect the change.
  • There is no specific deadline in the current regulations for submitting work permit amendments, but timely action is recommended.

  • Commune restructuring deadline: July 15, 2025
  • Provincial consolidation deadline: August 15, 2025
